Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, tools, waitlists, beta products, APIs, content analysis systems, and related services made available by Istina AI (“Istina,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing, browsing, registering for, joining a waitlist for, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you use the Services on behalf of a company, organization, institution, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” will refer to both you and that entity.

Acceptance & Use of Services

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms and any policies or guidelines incorporated by reference, including our Privacy Policy and any product-specific terms that may apply to particular Services, features, or offerings.

You may not use the Services if:

  • your use would violate applicable law or regulation;

  • you do not have legal capacity to enter into a binding agreement;

  • you have previously been suspended or removed from the Services and have not been expressly permitted to return.

We may update or revise these Terms from time to time. Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction to use online services without parental consent, whichever is higher, to use the Services.

If you are under the age of majority in your jurisdiction, you may only use the Services with the supervision and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

By using the Services, you represent and warrant that:

  • you meet the eligibility requirements above;

  • all information you provide is truthful and accurate;

  • you are legally permitted to use the Services in your jurisdiction.

Description of the Services

Istina provides tools, interfaces, and systems designed to help users analyze, compare, and better understand differences in framing, narrative construction, bias signals, and the presentation of information across sources.

The Services may include, without limitation:

  • websites and landing pages;

  • waitlists and invitation systems;

  • early access, alpha, and beta programs;

  • article, source, or narrative comparison tools;

  • AI-assisted outputs, summaries, classifications, or interpretations;

  • newsletters, research updates, and communications;

  • future subscription, premium, or enterprise features.

The Services are evolving and may change frequently. We may add, remove, modify, suspend, or discontinue any feature, function, or portion of the Services at any time, with or without notice.

The Services are intended to support critical thinking and contextual understanding. They are not intended to replace human judgment or serve as professional legal, journalistic, academic, financial, political, or other regulated advice.

No Guarantee of Accuracy or Neutrality

You acknowledge and agree that the Services, including any outputs generated, surfaced, summarized, scored, categorized, or otherwise presented by Istina, may be incomplete, inaccurate, outdated, inconsistent, context-dependent, or affected by limitations in data, models, prompts, system design, or user inputs.

Without limiting the foregoing:

  • Istina does not guarantee that any output is objectively correct, exhaustive, neutral, or free from bias;

  • different users may receive different outputs from the same or similar inputs;

  • outputs may rely on imperfect, changing, or unavailable information;

  • outputs should not be treated as definitive truth, factual certification, or a substitute for independent verification.

You are solely responsible for evaluating any outputs before relying on them, sharing them, publishing them, or making decisions based on them.

User Accounts and Registration

Certain features may require you to create an account or provide information such as your name, email address, organization, or other details.

You agree to:

  • provide accurate, current, and complete registration information;

  • maintain and promptly update that information;

  • keep your login credentials confidential;

  • notify us immediately of any unauthorized use of your account or any security breach.

You are responsible for all activity that occurs under your account, whether or not authorized by you, unless applicable law provides otherwise.

We reserve the right to reject registrations, suspend accounts, require re-verification, reclaim usernames, or terminate accounts in our discretion, including where we believe an account:

  • violates these Terms;

  • poses risk to the Services or other users;

  • contains false or misleading information;

  • is being used for abuse, scraping, spam, manipulation, or unlawful conduct.

Waitlist, Early Access, Alpha, and Beta Features

Istina may offer waitlists, referral programs, invite-only access, alpha versions, beta versions, experimental tools, or limited early-access programs.

By joining or participating in such a program, you acknowledge and agree that:

  • waitlist enrollment does not guarantee access;

  • access may be delayed, revoked, limited, or denied in our sole discretion;

  • referral rankings, access priority, or incentives may change at any time;

  • experimental features may be unstable, incomplete, contain errors, or produce unreliable outputs;

  • we are under no obligation to continue, release, support, or maintain any experimental feature.

We may remove any user from a waitlist, referral program, or early-access program at any time for any reason, including abuse, manipulation, fraud, inactivity, or violation of these Terms.

Paid Services, Billing, and Subscriptions

If Istina offers paid features, subscriptions, credits, premium plans, enterprise offerings, or other paid Services, the following terms apply unless superseded by separate written commercial terms.

You agree to pay all applicable fees, charges, taxes, and amounts associated with your use of paid Services. Unless otherwise stated:

  • fees are quoted in the currency designated at purchase;

  • payments are due in advance;

  • recurring subscriptions renew automatically until canceled;

  • all payments are non-refundable except where required by law or expressly stated otherwise.

We may change pricing, feature availability, subscription structures, usage limits, or payment terms at any time. If we materially change a recurring subscription price, we will provide notice as required by applicable law.

If your payment method fails or your account becomes delinquent, we may suspend or terminate access to paid Services.

You are responsible for any taxes, duties, levies, or similar governmental charges arising from your purchase or use of paid Services, except taxes based on our net income.

Acceptable Use

You may use the Services only in compliance with these Terms and applicable law. You may not, and may not permit others to:

  1. use the Services for unlawful, fraudulent, harmful, abusive, deceptive, or misleading purposes;

  2. upload, submit, transmit, or distribute content that is illegal, defamatory, infringing, harassing, hateful, threatening, exploitative, or otherwise objectionable;

  3. use the Services to create, distribute, amplify, or automate misinformation, disinformation, propaganda, impersonation, fraud, or coordinated manipulation;

  4. interfere with, disrupt, damage, disable, overburden, or impair the Services or any connected system;

  5. attempt to gain unauthorized access to accounts, infrastructure, networks, or data;

  6. reverse engineer, decompile, disassemble, or attempt to discover source code, models, prompts, system architecture, or non-public components, except to the extent such restriction is prohibited by law;

  7. scrape, crawl, harvest, index, download, or extract data, outputs, or content from the Services using bots, scripts, automation, or other means except as expressly authorized by us;

  8. bypass or attempt to bypass usage limits, access controls, security protections, or rate limits;

  9. use the Services to build or improve competing products or datasets without our written permission;

  10. upload malware, viruses, worms, spyware, or other malicious code;

  11. use the Services in a way that infringes or violates the rights of others, including privacy, publicity, intellectual property, or contractual rights;

  12. falsely imply endorsement, affiliation, partnership, or sponsorship by Istina.

We reserve the right to investigate suspected misuse and to suspend, restrict, or terminate access without notice.

User Content

“User Content” means any text, prompts, links, articles, files, data, feedback, media, or other materials that you submit, upload, transmit, input, or otherwise make available through the Services.

You retain ownership of your User Content, subject to the rights you grant us below.

By submitting User Content, you grant Istina a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, process, adapt, modify, analyze, display, transmit, and use that User Content solely as reasonably necessary to:

  • operate and provide the Services;

  • improve, maintain, secure, and debug the Services;

  • generate outputs requested by you;

  • enforce these Terms;

  • comply with legal obligations.

You represent and warrant that:

  • you own or control all rights necessary to submit the User Content;

  • your User Content does not violate any law or third-party rights;

  • your User Content does not contain malicious code or harmful material;

  • your submission of User Content and our use of it as permitted by these Terms will not violate any confidentiality obligation, contract, or other restriction.

We may, but are not obligated to, review, monitor, remove, block, or restrict User Content.

Sensitive, Restricted, and Prohibited Content

You must not submit to the Services any content that you do not have the right to disclose, including confidential information belonging to another person or organization.

You also agree not to upload, input, or submit:

  • illegal content;

  • personal data that you are not authorized to provide;

  • highly sensitive regulated data unless explicitly permitted by us in writing;

  • content intended to facilitate harm, exploitation, or unlawful conduct;

  • content that violates third-party platform terms or rights.

Unless we expressly state otherwise, you should not use the Services for high-risk activities or to process categories of data requiring specialized contractual, regulatory, or industry compliance commitments.

Intellectual Property Rights

The Services, including all software, code, text, graphics, designs, branding, interfaces, compilations, models, outputs formatting, workflows, website content, logos, names, and related materials provided by Istina, are owned by or licensed to Istina and are protected by intellectual property and other applicable laws.

Except as expressly permitted by these Terms, you may not:

  • copy, reproduce, republish, distribute, modify, create derivative works from, sell, lease, sublicense, or exploit any part of the Services;

  • remove, obscure, or alter any proprietary notices;

  • use our branding, logos, trade names, or marks without our prior written consent.

“Istina,” “Istina AI,” and related marks are our proprietary brand assets, whether or not formally registered.

Limited License to Use the Services

Subject to your compliance with these Terms, Istina grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal, personal, or legitimate business use, solely in the manner permitted by the Services and these Terms.

This license does not include any right to:

  • resell or commercially exploit the Services except as expressly authorized;

  • access non-public features or infrastructure;

  • use the Services in violation of these Terms or law.

We may revoke this license at any time.

Feedback

If you provide comments, ideas, suggestions, product input, or other feedback regarding the Services (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any lawful purpose without acknowledgment, restriction, or compensation to you.

Third-Party Services and Dependencies

The Services may rely on, integrate with, or link to third-party platforms, providers, or services, including hosting providers, payment processors, AI model providers, analytics services, email systems, embedded tools, authentication providers, and external websites.

We do not control and are not responsible for:

  • third-party products or services;

  • their availability, accuracy, or reliability;

  • their security practices or privacy policies;

  • any damage or loss arising from your use of third-party services.

Your use of third-party services is governed by their own terms and policies. We encourage you to review them carefully.

Data, Privacy, and Security

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and disclose personal information.

While we take reasonable measures to help protect the Services and information processed through them, no internet-based service can be guaranteed fully secure or uninterrupted. You acknowledge that:

  • transmissions over the internet are inherently risky;

  • security incidents may occur despite reasonable safeguards;

  • you are responsible for using the Services in a secure manner, including protecting your credentials and devices.

You agree not to probe, test, or exploit vulnerabilities in the Services without express written authorization.

Service Availability; Maintenance; Changes

We may modify, suspend, restrict, or discontinue any part of the Services at any time, for any reason, with or without notice.

We do not guarantee that the Services will always be available, uninterrupted, timely, secure, accurate, or free from errors, defects, viruses, or harmful components.

We may perform maintenance, updates, patches, migrations, or infrastructure changes that affect availability or functionality.

We are not liable for any outage, interruption, delay, content loss, functionality change, or discontinuation of the Services.

Reservation of Rights

We reserve all rights not expressly granted to you in these Terms.

Without limiting that reservation, we may:

  • monitor use of the Services;

  • investigate suspected misconduct;

  • remove content or outputs;

  • restrict or block certain users, IPs, geographies, or usage patterns;

  • set or change usage limits, quotas, or eligibility rules;

  • modify how features operate;

  • preserve and disclose information if reasonably necessary to comply with law or protect rights, safety, or the integrity of the Services.

Termination and Suspension

We may suspend, restrict, disable, or terminate your access to the Services at any time, with or without notice, if:

  • you violate these Terms;

  • you create legal, operational, reputational, or security risk;

  • your use appears fraudulent, abusive, or unlawful;

  • your account remains inactive for an extended period;

  • we are required to do so by law or third-party provider obligations.

You may stop using the Services at any time. If you wish to terminate your account, you may do so by following the applicable account procedures or contacting us.

Termination does not affect any rights or obligations accrued before termination. Sections that by their nature should survive termination will survive, including those relating to licenses, disclaimers, limitations of liability, indemnification, dispute resolution, intellectual property, and governing law.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS”, “AS AVAILABLE,” AND “WITH ALL FAULTS.”

ISTINA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF:

  • MERCHANTABILITY;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • TITLE;

  • NON-INFRINGEMENT;

  • QUIET ENJOYMENT;

  • ACCURACY;

  • RELIABILITY;

  • AVAILABILITY;

  • SECURITY;

  • PERFORMANCE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;

  • DEFECTS WILL BE CORRECTED;

  • OUTPUTS OR ANALYSES WILL BE ACCURATE, CONSISTENT, CURRENT, OR COMPLETE;

  • THE SERVICES WILL BE FREE OF HARMFUL COMPONENTS.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ISTINA AND ITS FOUNDERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • YOUR ACCESS TO OR USE OF THE SERVICES;

  • YOUR INABILITY TO ACCESS OR USE THE SERVICES;

  • ANY CONTENT, OUTPUT, OR DECISION MADE IN RELIANCE ON THE SERVICES;

  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS;

  • ANY INTERRUPTION, MODIFICATION, OR TERMINATION OF THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ISTINA FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO ISTINA FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

  2. ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain disclaimers or limitations, so some provisions of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Istina and its affiliates, officers, directors, employees, contractors, licensors, suppliers, and partners from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Services;

  • your User Content;

  • your violation of these Terms;

  • your violation of applicable law;

  • your violation of any third-party rights;

  • any claim that content or materials you submitted caused damage to another party.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.

Compliance With Laws and Export Restrictions

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services, including laws relating to data protection, intellectual property, trade controls, sanctions, and online conduct.

You may not use, export, re-export, or transfer the Services in violation of applicable export control or sanctions laws.

Governing Law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of Ontario Canada, without regard to conflict of law principles.

If you access the Services from another jurisdiction, you do so at your own risk and remain responsible for compliance with local laws.

Dispute Resolution and Venue

Before filing any formal claim, you agree to first contact us and attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, then, unless otherwise required by applicable law, any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in Ontario Canada, and you consent to the personal jurisdiction and venue of those courts.

To the extent permitted by law, you and Istina agree that any claims will be brought only on an individual basis and not as part of any class, consolidated, or representative action.

Injunctive Relief

You acknowledge that unauthorized use of the Services or violation of our intellectual property rights may cause irreparable harm for which monetary damages may be inadequate. Accordingly, we may seek injunctive or equitable relief, in addition to any other remedies available, without the need to post bond where permitted by law.

Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, restructuring, or operation of law.

Entire Agreement

These Terms, together with any policies or additional terms incorporated by reference, constitute the entire agreement between you and Istina regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings relating to the Services.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to exercise or enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

Any waiver must be in writing and signed by an authorized representative of Istina.

No Professional, Editorial, or Journalistic Advice

The Services do not provide legal, financial, medical, political, journalistic, editorial, academic, or other professional advice. Any outputs, classifications, comparisons, summaries, or indications generated through the Services are for informational and research-support purposes only.

Users remain solely responsible for independent verification and for any decisions or actions taken based on the Services.

AI and Automation Limitations

The Services may rely on automated systems, machine learning models, classifiers, ranking systems, retrieval processes, third-party model providers, and algorithmic methods. These systems can produce false positives, false negatives, inaccurate summaries, misleading classifications, inconsistent conclusions, or incomplete analyses.

You acknowledge that:

  • automated outputs may not reflect all relevant facts or context;

  • different models or versions may produce different outputs;

  • model behavior may change over time;

  • outputs should not be relied on without human review where accuracy matters.

User Responsibility for Inputs and Interpretation

You are solely responsible for:

  • the legality and appropriateness of the content you submit;

  • the choice to rely on or share outputs from the Services;

  • how you interpret any analysis, score, or result;

  • compliance with any legal, contractual, ethical, or workplace obligations related to your use of the Services.

Istina is not responsible for user misuse, overreliance, or misinterpretation of outputs.

Research, Testing, and Product Improvement

You acknowledge that we may use system logs, performance signals, interaction data, and service usage patterns to test, improve, and maintain the Services, subject to our Privacy Policy and applicable law.

This may include improving ranking quality, safety systems, stability, interface performance, or model behavior.
